McMinnville-based NurseOne recognized the potential value of vertical integration into home-health services as a means to expand opportunities for its nurse-staffing operations. It formed a subsidiary, Assertive Medical, and sought an acquisition in the space. More….
Assertive Medical acquired two Clarksville-based firms – Complete Home Health and Clarksville Health Professional Services – to facilitate its entry into the home health field, after a multi-year process of attempting to secure its own certificate of need in this competitive market segment. This private transaction was funded by internal capital, supported by a working–capital facility from New Jersey based Beacon Federal. Transaction details were not disclosed, but the acquired units had annual revenues of approximately $ 4mm.
2ndG served as advisor to NurseOne's management in this entire strategic development, assisting in strategic planning, identification of targets, negotiation of the transaction, structure of the financing, and operational integration of the acquired companies.
