Considering a merger or sale in today's market?
Many entrepreneurs (and other private business owners) are watching current business trends with a wary eye. In a business environment where any prognosticator's crystal ball is murky, some business owners may be tempted to put their business "on the market" -- if only to cash out before values fall (or fall further). Some are even tempted to try to minimize the costs of such actions by "going it alone," i.e. without engaging a professional team (lawyer, tax accountant, and M&A advisor) to assist. Fallen angels?
No, I am not working on a sequel to Dante's Inferno. In fact, the fallen angel I'm writing about will have a decidedly chilling (not heating) effect on private equity and venture capital partnerships (funds) seeking equity capital from angel investors. Almost as directly affected will be the young and growth companies that these partnerships or funds invest in. For the first time since 1982, a real change may be coming in the Securities and Exchange Commission's (SEC) rules and regulations governing exempt (non-registered) or private offering securities for pooled investments vehicles. Significant changes are being proposed in the Restoring American Financial Stability Act of 2009. Full Article
